Terms of Service
Agreement
These Terms of Service (the "Terms") govern your access to and use of the website, products, services and quotations provided by North Propulsion ApS ("North Propulsion", "we", "us") located in Copenhagen, Denmark. By accessing the site, requesting a quote, or placing an order, you agree to be bound by these Terms.
Quotes & orders
Items added to the basket on this website do not constitute an offer or an order. Submitting the request-quote form is a request for a formal quotation. A binding contract is only formed when North Propulsion accepts a purchase order in writing and confirms availability, lead time, and commercial terms. Listed prices are indicative and exclude shipping, customs, integration support, taxes, and volume adjustments.
Export control & sanctions
Our products may be subject to European Union dual-use export controls and, where applicable, to US ITAR / EAR regulations. The customer is responsible for obtaining any required export, re-export or transfer licences for the destination country and end-use. North Propulsion does not sell, source from, or otherwise do business with parties or jurisdictions subject to EU, UN, UK, or US sanctions.
Delivery & acceptance
Delivery terms are specified per order and follow Incoterms 2020 (default: FCA Copenhagen). Risk of loss transfers to the customer on collection by the carrier. The customer must inspect the delivered system within thirty (30) days; defects not reported within this window are deemed accepted.
Warranty
North Propulsion warrants that delivered systems will conform to the agreed specification at the time of delivery. The warranty does not cover damage caused by integration, handling, storage outside specified conditions, launch loads in excess of specification, or any modification performed by parties other than North Propulsion. Remedy is limited to repair, replacement or refund at our discretion.
Limitation of liability
To the maximum extent permitted by Danish law, the total aggregate liability of North Propulsion arising out of or relating to any order, product or service shall not exceed the amount paid by the customer for the system giving rise to the claim. North Propulsion shall not be liable for indirect, incidental, special or consequential damages, including loss of revenue, satellite operational time, or mission opportunity.
Intellectual property
All intellectual property in our designs, drawings, datasheets, and payload user's guides remains the sole property of North Propulsion. No licence is granted by delivery of a system other than the right to integrate and operate that specific unit.
Confidentiality
Detailed technical documentation, including the payload user's guide and interface control documents, is provided under a separate Non-Disclosure Agreement. Mission information shared by the customer for the purpose of quotation will be treated as confidential.
Force majeure
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including launch vehicle delays, regulatory embargoes, or supply-chain disruption.
Privacy
Information submitted via the contact and quote forms is used only to respond to your enquiry and is not shared with third parties for marketing purposes. We retain submissions for as long as needed to operate our commercial relationship with you.
Governing law
These Terms are governed by the laws of Denmark. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
